Terms of Service

These Terms of Service ("Terms") govern your use of the Sentinel Nerd website and security monitoring platform (the "Service") operated by Sentinel Nerd, Inc. ("we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account or using the Service, you confirm that you are at least 18 years old and have the legal authority to enter into these Terms. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Account Terms

You are responsible for:

  • Providing accurate and complete account information
  • Maintaining the security of your account credentials
  • All activity that occurs under your account
  • Notifying us immediately of any unauthorized use of your account

We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe are being used fraudulently.

3. Subscriptions and Payment

Free Trial: We offer a 14-day free trial with full feature access. No credit card is required for the trial. At the end of the trial, you must subscribe to a paid plan to continue using the Service.

Billing: Paid subscriptions are billed monthly or annually, depending on your selected billing cycle. Payments are processed through Stripe. All fees are non-refundable except as required by law or as described in our refund policy.

Price Changes: We may change subscription prices with 30 days' notice. Price changes take effect at the start of your next billing cycle. If you do not agree with a price change, you may cancel before it takes effect.

Cancellation: You may cancel your subscription at any time. Access continues until the end of your current billing period. We do not offer partial refunds for unused time within a billing period.

4. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable law or regulation
  • Monitor networks or systems you do not own or have authorization to monitor
  • Attempt to gain unauthorized access to the Service or its infrastructure
  • Interfere with or disrupt the Service or other users' use of the Service
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Use the Service to develop a competing product
  • Resell or sublicense the Service without a written reseller agreement
  • Transmit malware, viruses, or any malicious code through the Service
  • Use automated means to access the Service beyond the provided API, except as authorized

5. Your Data

You retain ownership of all data you submit to the Service ("Your Data"). By using the Service, you grant us a limited license to process Your Data solely for the purpose of providing the Service to you. This includes storing, analyzing, and displaying your security event data within your account.

You are responsible for the legality and accuracy of Your Data. You represent that you have the right to submit network security data from the devices you monitor and that doing so does not violate any applicable privacy laws or third-party rights.

6. Intellectual Property

The Service, including its design, features, code, documentation, and content (excluding Your Data), is owned by Sentinel Nerd, Inc. and is protected by copyright, trademark, and other intellectual property laws. These Terms do not grant you any right to use our trademarks, logos, or brand features.

Detection rules you create are yours. Pre-built detection rules included with the Service are licensed to you for use within the Service only.

7. Third-Party Services

The Service integrates with third-party services (UniFi controllers, Slack, Discord, PagerDuty, etc.). Your use of these services is governed by their respective terms. We are not responsible for the availability, accuracy, or practices of third-party services.

AI analysis features use OpenAI's API. Alert metadata (not raw network data) is sent to OpenAI for analysis. OpenAI's data usage policies apply to this processing.

8. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

SENTINEL NERD IS A MONITORING AND ALERTING TOOL. WE DO NOT GUARANTEE THAT THE SERVICE WILL DETECT ALL SECURITY THREATS OR PREVENT ALL SECURITY INCIDENTS. THE SERVICE IS ONE COMPONENT OF A COMPREHENSIVE SECURITY STRATEGY AND SHOULD NOT BE RELIED UPON AS YOUR SOLE SECURITY MEASURE.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SENTINEL NERD, INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify and hold harmless Sentinel Nerd, Inc. and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

11. Termination

We may suspend or terminate your access to the Service at any time for violation of these Terms, with or without notice. Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive termination will survive, including Intellectual Property, Disclaimers, Limitation of Liability, and Indemnification.

Upon termination, we will delete Your Data within 30 days in accordance with our Privacy Policy.

12. Governing Law

These Terms are governed by the laws of the State of California, without regard to its conflict of laws provisions. Any disputes arising from these Terms or the Service shall be resolved in the state or federal courts located in San Francisco County, California.

13. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by email or by posting a notice on the Service at least 30 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the modified Terms.

14. General

These Terms constitute the entire agreement between you and Sentinel Nerd, Inc. regarding the Service. If any provision is found unenforceable, the remaining provisions remain in effect. Our failure to enforce any right or provision does not constitute a waiver. You may not assign these Terms without our written consent.
